Clever Folk Ltd Terms of service
These Terms of Service (“Terms”) apply to all services provided by Clever Folk Ltd (“we,” “us,” or “our”) to our clients (“you” or “the Client”). By engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms.
1. Scope of Work
We will provide the services outlined in your proposal, quote, or project agreement (“the Agreement”). Any changes to scope, timelines, or deliverables must be agreed in writing.
2. Fees and Payment
Fees are set out in the Agreement and are exclusive of VAT unless otherwise stated. Payment is due within 14 days of the invoice date, unless agreed otherwise in writing. We reserve the right to pause or stop work if invoices remain unpaid after the due date. For retained or recurring services, invoices will be issued monthly in advance. Any work requested outside the agreed scope will be billed at our standard hourly rate or as separately quoted and agreed in writing.
3. Client Responsibilities
You agree to provide timely access to information, materials, and approvals as needed; respond to queries and feedback within a reasonable timeframe to avoid delays; and ensure you have the right to use any materials or content you provide.
4. Timelines and Delivery
We will make every effort to meet agreed timelines, but delays caused by the Client (e.g. late feedback or missing materials) may impact delivery dates. We will notify you as soon as possible if we anticipate any delays on our side.
5. Intellectual Property
Final ownership of deliverables (e.g., designs, copy, strategy documents) transfers to you upon full payment. Until payment is received in full, Clever Folk retains all rights to the work. We retain the right to showcase work in our portfolio unless otherwise agreed.
6. Confidentiality
Both parties agree to keep confidential any information disclosed during the project that is marked or understood to be confidential.
7. Limitation of Liability
We will not be liable for any indirect, incidental, or consequential loss or damage. Our total liability for any claim arising from the services shall not exceed the total fees paid by you to us for those specific services.
8. Termination
Either party may terminate a project or retainer with 30 days’ written notice. Work completed up to the date of termination will be invoiced and payable in accordance with our payment terms. Prepaid work is non-refundable unless otherwise agreed.
9. Dispute Resolution
We aim to resolve disputes amicably. If a resolution cannot be reached, disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
10. Governing Law
These Terms are governed by the laws of England and Wales.
Additional Terms – Ad Account Review and Ads Action Plan
These specific terms apply to our Ad Account Review product, which includes both the Free Ad Account Review and the Ads Action Plan, and are in addition to the general terms above.
11. Scope of the Free Digital Ad Account Review
This is a one-time, no-obligation review of a single digital advertising account (one brand, one channel). You must grant Clever Folk access to your ad accounts to enable the review. The review will include a written summary of our findings and a 20-minute call focusing on performance insights and opportunities for improvement. The review does not include hands-on implementation or campaign management.
12. Scope of the Ads Action Plan
The Ads Action Plan is a paid service that includes a detailed roadmap of recommended changes or strategies, estimated performance impact where applicable, and optional support packages available separately for implementation. Delivery format may include written documents, recorded walk-throughs, or live sessions, depending on the agreed approach. Payment for the Ads Action Plan is required in full upfront to secure time for review and ensure quick turnaround. Once payment is received, we will confirm delivery timelines.
13. Timelines for Ad Account Services
We aim to deliver the Free Ad Account Review within 5 working days of receiving account access. Ads Action Plans are typically delivered within 7–10 working days of payment and briefing, unless otherwise agreed.
14. Client Responsibilities (Ad Account Services)
To deliver accurate and actionable advice, you agree to provide full access to the relevant digital ad platform accounts, share context about your business goals, budgets, and past activity if requested, and respond to clarification questions in a timely manner.
15. Limitations
Our reviews and plans are based on the data available at the time of access. Results are not guaranteed and depend on multiple factors outside our control, including changes in budget, targeting, creative assets, and platform policies. Clever Folk is not liable for the performance of ad accounts after advice is implemented.
16. Intellectual Property (Ad Account Services)
You are free to implement recommendations internally or with another provider. However, the contents of the report, any strategy documents, or recorded material may not be published, shared publicly, or resold without our prior written permission.
17. Confidentiality (Ad Account Services)
All account data, business goals, and strategy discussions are treated as confidential and will not be shared outside of Clever Folk.
18. Refunds and Cancellations
The Free Ad Account Review is free of charge and can be withdrawn at any time. The Ads Action Plan is a one-off purchase. Refunds are not offered once work has commenced, unless otherwise agreed or in the event of non-delivery.
